You may be unable to sell your shares when you want to, or you may have to sell at a significantly lower price than what you paid. The Company acts only as a facilitator and does not guarantee exit or liquidity at any time.

2. Valuation Risk

Prices of unlisted shares displayed on this platform are indicative only and based on prevailing market sentiment, recent transaction data, and comparable analysis. They are NOT determined by any regulated exchange mechanism. The actual value of your investment may differ significantly — upward or downward — from the price at which you transacted. Priveq makes no warranty about the accuracy or fairness of any quoted price.

3. Business and Pre-IPO Risk

Companies offering pre-IPO shares may not successfully complete an IPO. Filing a DRHP with SEBI does not guarantee listing approval or timeline. The company may withdraw its IPO application, fail to meet SEBI requirements, or choose to remain private. In such cases, your investment may remain illiquid indefinitely. There is no legal obligation on the company to list its shares.

4. Regulatory and Legal Risk

Transactions in unlisted securities are subject to regulations including SEBI (ICDR) Regulations, Companies Act 2013, and applicable FEMA provisions. Regulatory changes may affect the legality, transferability, or valuation of your investment. Lock-in periods may apply post-IPO that prevent you from selling immediately upon listing. Company articles may also impose transfer restrictions.

5. Counterparty Risk

Priveq facilitates transactions between buyers and sellers. While we conduct due diligence, we do not guarantee the financial standing, authenticity, or intentions of counterparties. In case of a seller failing to deliver shares, or a company being wound up, you may not be able to recover your investment. The Company shall not be liable for counterparty defaults.

6. Concentration Risk

Investing a significant portion of your wealth in unlisted shares of a single company or sector exposes you to concentrated risk. We recommend diversifying your portfolio and limiting exposure to unlisted/pre-IPO investments to a portion of your overall investment portfolio that you can afford to lose entirely.

7. Information and Transparency Risk

Unlike listed companies, unlisted companies are not required to publish quarterly results, annual reports on public exchanges, or maintain the same disclosure standards as listed entities. Financial data shown on this platform is provided by the company and has not been independently verified by Priveq. You should conduct your own due diligence before investing.

8. Corporate Action Risk

Companies may undertake actions such as rights issues, bonus shares, stock splits, buybacks, mergers, or delistings that may materially affect the value of your holdings. Such actions are at the company's discretion and may not always be favourable to minority shareholders.

9. Settlement and Transfer Risk

Transfer of unlisted shares involves physical or off-market demat transfers which may take significantly longer than exchange-traded securities. Delays can occur due to company RTA processing times, depository participant procedures, or regulatory approvals. Priveq shall not be responsible for delays in share transfer that are outside its control.
